1. Acceptance of Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "User") and Tangency ("Tangency," "we," "us," or "our"), the operator of the website at tangency.ai and all associated subdomains, applications, APIs, and services (collectively, the "Platform").

By accessing or using the Platform in any manner — including creating an account, joining a waitlist, or accessing any feature, dashboard, or content — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you are accessing the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes both you individually and that organization.

2. Eligibility

2.1 Age. You must be at least eighteen (18) years of age to access or use the Platform. By using the Platform, you represent that you are 18 or older. If we learn that a User is under 18, we will terminate the account without notice.

2.2 Legal Capacity. You represent that you have the legal capacity to enter a binding contract under the laws of your jurisdiction.

2.3 Sanctions. You represent that you are not located in, a national of, or resident of any country subject to comprehensive Canadian, U.S., U.N., or EU sanctions, and that you are not on any consolidated sanctions or denied-parties list.

3. Description of the Platform

3.1 Overview. Tangency is an AI-powered trading intelligence platform that provides algorithmic scoring, market analysis, and data visualization tools across multiple timeframes and tickers.

3.2 Nature of the Platform. The Platform aggregates, analyzes, and presents financial market data from third-party sources using proprietary algorithmic methods. It is intended solely as a research and informational tool.

3.3 What Tangency Is Not. The Platform does not:

4. Beta and Pre-Launch Disclaimer

4.1 Beta Status. The Platform is currently operating in a pre-launch, beta phase. Features, data coverage, scoring algorithms, user interface, access tiers, and all other aspects are subject to change, discontinuation, or modification at any time without notice.

4.2 No Guarantee of Continuity. During the beta phase, we make no guarantee of uptime, data availability, or feature completeness. The Platform may be taken offline, modified, or discontinued at our sole discretion.

4.3 No Reliance. You acknowledge that the Platform is in early development and that outputs, scores, signals, and data may contain errors or inaccuracies. You agree not to rely on Platform Content during the beta phase for any consequential financial decision.

5. Not Investment Advice — Critical Disclaimer

This section is critical. Read it carefully.

5.1 Informational Purpose Only. All content, data, scores, signals, rankings, ratings, analyses, algorithmic outputs, recommendations, indicators, commentary, and other information made available through the Platform (collectively, "Platform Content") is provided for informational and educational purposes only. Platform Content does not constitute, and shall not be construed as, financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice.

5.2 Not a Recommendation. No Platform Content constitutes a recommendation, solicitation, offer, or endorsement to buy, sell, hold, or otherwise transact in any security, financial instrument, cryptocurrency, commodity, derivative, or other asset. The algorithmic scores, rankings, confluence signals, and all other outputs are the product of automated data processing and do not reflect human judgment about the suitability of any investment for any individual.

5.3 No Guarantee of Results. Past performance data, backtested results, historical signals, and historical scoring outputs reflected on the Platform are not indicative of future results. There is no guarantee that any approach, signal, or score presented on the Platform will result in a profit or avoid a loss. Investing involves substantial risk, including possible loss of the entire amount invested.

5.4 Independent Verification Required. All investment decisions must be made independently, based on your own research, your own assessment of your individual financial situation, investment objectives, risk tolerance, and applicable tax and legal considerations. We strongly recommend consulting with a licensed financial adviser, portfolio manager, or other qualified professional before making any investment decision.

5.5 No Licensed Financial Intermediary. Tangency is not registered as an investment adviser, portfolio manager, exempt market dealer, dealer, or any other regulated financial intermediary with the British Columbia Securities Commission, any other Canadian provincial securities regulator, the U.S. Securities and Exchange Commission, FINRA, the SEC, the CFTC, or any other regulatory authority. No registration, licensing, or regulatory approval has been obtained with respect to the information or services provided through the Platform.

5.6 Third-Party Content. To the extent the Platform displays analyst ratings, earnings estimates, or other content sourced from third-party providers, such content reflects the views of those third parties, not Tangency's view or recommendation. Tangency does not verify, endorse, or guarantee the accuracy of any third-party content.

6. AI-Generated Content and Algorithmic Outputs

6.1 Algorithmic Generation. A material portion of Platform Content — including all scores, rankings, confluence signals, sentiment analyses, and pattern detections — is generated by automated algorithmic systems, statistical models, and machine-learning processes operating on third-party market data. No human reviews, approves, or warrants the accuracy of any individual output before display.

6.2 Inherent Limitations. Algorithmic and AI-generated outputs are subject to inherent limitations including, without limitation: data latency, model risk, look-ahead bias, overfitting, regime change, structural breaks, unexpected market conditions, and errors or omissions in third-party source data. Outputs may produce results that are inaccurate, incomplete, biased, contradictory, or unsuitable for any particular purpose.

6.3 No Authority. You agree not to treat any algorithmic output as authoritative, definitive, or as a substitute for your own research, analysis, and professional advice. Tangency makes no representation that any output will produce profitable trades, accurate predictions, or reliable signals.

7. Human-in-the-Loop Requirement

7.1 No Automated Execution. The Platform is intended for use as a research and decision-support tool requiring meaningful human review and judgment before any action is taken. You agree that you will not connect, route, pipe, or otherwise transmit Platform Content into any automated trade-execution system, broker API, or autonomous trading agent in a manner that bypasses human review of each individual decision.

7.2 Your Responsibility. You are solely responsible for any trades or financial decisions you make. The presence of any signal, score, or alert on the Platform is not an instruction to trade and creates no obligation on your part. You alone determine whether, when, and how to act on any Platform Content.

8. No Fiduciary Relationship

No fiduciary relationship is created by your use of the Platform. The relationship between Tangency and each User is that of independent parties dealing at arm's length, and use of the Platform does not create any partnership, agency, joint venture, employment, or representative relationship.

9. User Accounts

9.1 Account Creation. To access certain Platform features you must create an account through our authentication provider (currently Clerk). You agree to provide accurate, current, and complete registration information.

9.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@tangency.ai of any unauthorized access.

9.3 One Account per User. You may not create more than one account per person, share your credentials, or permit any other person to access the Platform using your account.

9.4 Waitlist. If you join the waitlist by providing your email, you agree we may contact you regarding Platform availability, updates, and related announcements. Your email is handled per our Privacy Policy.

10. Subscriptions, Fees, and Refunds

10.1 Current Beta Access. Access to the Platform is currently provided free of charge during the beta period. These Terms apply to both free and paid access.

10.2 Future Paid Tiers. We intend to introduce paid subscription tiers following the beta phase. Pricing will be published on the Platform with reasonable advance notice to registered users before any charge.

10.3 Refund Policy. Subject to the rights described below, paid subscription fees are generally non-refundable.

10.4 Statutory Cancellation Rights. Nothing in these Terms limits any non-waivable consumer-protection rights you may have under applicable law, including, where applicable, the British Columbia Business Practices and Consumer Protection Act, the Canadian Consumer Protection Acts of other provinces, or, for users outside Canada, comparable consumer-protection statutes in your jurisdiction. Where such laws grant a statutory cooling-off, cancellation, or refund right, that right applies notwithstanding any general "no refunds" language in these Terms.

10.5 Pricing Changes. We may change subscription pricing at any time. Price changes will be communicated to subscribers at least fourteen (14) days before the next billing cycle in which the change takes effect. Continued use of a paid tier after a price change takes effect constitutes acceptance of the new pricing.

10.6 Taxes. You are responsible for all applicable taxes, duties, and other governmental charges, including GST/HST/PST or equivalent sales taxes, except for taxes assessed on Tangency's net income.

11. Intellectual Property and Anti-Distillation

11.1 Ownership. All right, title, and interest in and to the Platform — including all software, algorithms, scoring methodologies, model weights, training data, data pipelines, user-interface designs, visual displays, text, graphics, logos, trademarks, and all other content comprising or displayed through the Platform (collectively, "Tangency IP") — are and shall remain the exclusive property of Tangency or its licensors.

11.2 Limited License. Subject to your compliance with these Terms, Tangency grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial informational purposes during the term of your account.

11.3 Restrictions. You shall not, directly or indirectly:

11.4 Anti-Distillation; No Shadow Modeling. You agree not to use Platform outputs — whether directly or in combination with other inputs — to train, fine-tune, distill, evaluate, benchmark, or otherwise create or improve any machine-learning model, scoring system, signal feed, or analytical product that competes with the Platform. This restriction applies whether the resulting product is offered commercially, internally, or publicly.

11.5 Feedback. If you provide us with feedback, suggestions, or ideas relating to the Platform, you assign to Tangency all right, title, and interest in such feedback, including all intellectual property rights, free of charge and without restriction.

11.6 Trademarks. "Tangency," the Tangency logo, and all related marks are trademarks of Tangency. You may not use any Tangency trademark without prior written consent.

13. Third-Party Data Providers

13.1 Data Sources. The Platform incorporates data from third-party market data providers, which may include but are not limited to Finnhub, Twelve Data, Yahoo Finance, and other commercial financial data services (collectively, "Data Providers").

13.2 As-Is. All data sourced from Data Providers is provided to you on an "as is" basis. Tangency makes no representation or warranty as to the accuracy, completeness, timeliness, or reliability of any third-party data.

13.3 No Endorsement. The inclusion of third-party data does not constitute an endorsement of the Platform by any Data Provider. Data Providers are not affiliated with Tangency and do not review or approve any Platform output.

13.4 Latency. Market data may be subject to delays. Refresh intervals are subject to change and depend on data availability and provider conditions. We do not guarantee any specific data refresh rate.

13.5 Disclaimer. TANGENCY EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM ERRORS, INACCURACIES, OMISSIONS, DELAYS, OR OTHER DEFECTS IN DATA OBTAINED FROM DATA PROVIDERS. NEITHER TANGENCY NOR ANY DATA PROVIDER SHALL BE LIABLE FOR ANY TRADING LOSSES OR FINANCIAL LOSSES ARISING FROM RELIANCE ON THIRD-PARTY DATA.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: THE PLATFORM AND ALL PLATFORM CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TANGENCY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR FREE OF VIRUSES.

Some jurisdictions, including British Columbia under the Sale of Goods Act and Business Practices and Consumer Protection Act, do not allow the exclusion of certain warranties. To the extent such warranties cannot be excluded, they are limited to the minimum scope and duration permitted by applicable law.

15. Limitation of Liability

15.1 Exclusion of Indirect Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, TANGENCY AND ITS REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, LOST REVENUES, LOST TRADING GAINS, OR LOST DATA; LOSS OF GOODWILL OR BUSINESS OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF TANGENCY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 Liability Cap. TANGENCY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT OF FEES YOU PAID TO TANGENCY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

15.3 Investment Losses. WITHOUT LIMITING THE FOREGOING, TANGENCY SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR OTHER FINANCIAL LOSSES YOU INCUR AS A RESULT OF USING OR RELYING ON ANY PLATFORM CONTENT.

15.4 Statutory Limits. Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tangency and its officers, directors, employees, agents, contractors, and licensors from any claims, demands, lawsuits, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms or any law; (c) your violation of any third party's rights; (d) any investment or financial decision you make in connection with Platform Content; or (e) any misrepresentation you make in connection with your account.

17. Account Suspension and Termination

17.1 By You. You may close your account at any time by emailing support@tangency.ai or by using any account-deletion functionality we make available.

17.2 By Tangency. We may suspend, restrict, or permanently terminate your access at our discretion for any reason, including breach of these Terms, conduct we determine to be harmful, requests by law enforcement, failure to pay fees, fraudulent registration information, or suspected violation of applicable securities laws.

17.3 Effect. Upon termination, the license in Section 11.2 terminates, you must cease all use of the Platform, and any provisions that by their nature should survive (including Sections 5, 6, 8, 11, 14, 15, 16, 20, 21) shall survive.

17.4 Data Retention. Following termination, we may retain account information as required by law or as described in our Privacy Policy.

18. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference. By using the Platform, you consent to the collection and use of your information as described there. In the event of any conflict, the Privacy Policy governs with respect to privacy matters.

19. Modifications to the Terms

We may modify these Terms at any time. When we make material changes, we will provide notice by posting on the Platform, sending email to the address associated with your account, or updating the "Last Updated" date above. Material changes take effect no sooner than fourteen (14) days after notice, except where required by law or where the change expands your rights, in which case they may be effective immediately. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

20. Dispute Resolution and Arbitration

Read this section carefully — it affects your legal rights.

20.1 Informal Resolution First. Before initiating any formal proceeding, you agree to first contact us at support@tangency.ai and attempt in good faith to resolve the dispute informally. We will attempt to resolve any dispute informally within thirty (30) days of receiving written notice describing your claim.

20.2 Arbitration. If the dispute is not resolved informally, you and Tangency agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by final and binding arbitration administered by the ADR Institute of Canada ("ADRIC") in accordance with its Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, in English, in Vancouver, British Columbia, or, at your option (if you are an individual consumer), by video conference. Judgment on the award may be entered in any court of competent jurisdiction.

20.3 Small Claims and Statutory Rights. Notwithstanding Section 20.2, either party may bring an individual action in a small-claims court or tribunal of competent jurisdiction (in British Columbia, the Civil Resolution Tribunal or Provincial Court — Small Claims). Nothing in this Section limits any non-waivable right you may have under the British Columbia Business Practices and Consumer Protection Act or comparable consumer-protection legislation in your jurisdiction; in particular, where applicable consumer-protection law renders an agreement to arbitrate unenforceable as to consumer claims, that law prevails.

20.4 No Class Arbitration. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding, except where such waiver is unenforceable under applicable law.

20.5 Injunctive Relief. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information pending arbitration.

21. Governing Law and Venue

These Terms and any dispute arising out of or related to these Terms or the Platform are governed by and construed in accordance with the laws of the Province of British Columbia, Canada and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. For any dispute not subject to arbitration, you and Tangency submit to the exclusive jurisdiction of the courts of British Columbia, Canada.

22. Force Majeure

Tangency shall not be liable for any delay or failure in performance to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, government actions, war, terrorism, labour disputes, internet outages, cyberattacks, failures of third-party providers (including Data Providers), or power outages.

23. Severability and General

23.1 Severability. If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed; the remaining provisions remain in full force.

23.2 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tangency and supersede all prior agreements regarding the subject matter.

23.3 No Waiver. No failure or delay by Tangency in exercising any right shall operate as a waiver of that right.

23.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Tangency may assign these Terms in connection with a merger, acquisition, sale of assets, or reorganization.

23.5 Language. The parties have requested that these Terms and all related documents be drafted in English. Les parties ont demandé que cette convention et tous les documents connexes soient rédigés en anglais.
